1 While Lingua Tech (S) Pte Ltd (“Lingua Tech”) shall endeavour to produce an accurate and idiomatic translation of the original text, the original text may often be interpreted in many different ways. While Lingua Tech shall endeavour to handle the original document, artwork or other items with care, Lingua Tech is in the business of translation, not in the business of handling such items. Any liability on the part of Lingua Tech for any loss whatsoever howsoever arising, including, but without limitation to the generality of the aforesaid, loss from translating and from handling items, shall not in any case whatsoever exceed repaying to the client any amount actually paid by the client to Lingua Tech to translate the particular text in question. The client shall be responsible for insuring any item of value.

2 If the client is dissatisfied with the first translation, the client shall communicate this to Lingua Tech in writing within 7 days upon receipt of the first translation. Failing which, Lingua Tech shall not entertain any complaint whatsoever howsoever arising. Upon receipt of any timely, written complaint, Lingua Tech shall carefully consider the reason for the client’s dissatisfaction and shall make such amendments as Lingua Tech may consider appropriate in its sole discretion.

3 The client shall be entitled to a maximum of 2 rounds of amendments. Both rounds of amendments shall take place within a month upon receipt of the first translation by the client. After a month upon receipt of the first translation, Lingua Tech shall not entertain any further complaint whatsoever howsoever arising.

4 The fees quoted by Lingua Tech for translation and desktop publishing do not include any incidental expenses, such as, (but without prejudice to the generality aforesaid), floppy disk, zip disks, CD-ROMs, courier and, communication charges, etc. which shall be charged separately.

5 The client shall bear all incidental costs, including, without limitation to the generality of the aforesaid, collection costs, delivery costs, etc.

6 Lingua Tech shall be under no liability or obligation to do any job, including, but without prejudice to the generality of the aforesaid, translation and desktop publishing, unless and until it has received the Quotation Form duly endorsed by the client (and where the job costs more than S$10,000.00, unless and until the client has first paid to Lingua Tech at least half the said costs in advance by way of deposit).

7 The client shall make full payment once Lingua Tech notifies him/her that the translation has been completed. Any credit term shall be negotiated on a case by case basis and shall be effective only if recorded in writing and signed by Lingua Tech.

8 The client shall inform Lingua Tech in writing within 14 days from the date of the invoice if there is any discrepancy. If Lingua Tech is not so informed within the said time, the client shall be irrevocably bound by terms of the invoice.

9 The client shall be entitled to cancel any job if and only if such cancellation is communicated in writing to Lingua Tech before the job is started. Upon receipt of any timely, written cancellation, Lingua Tech shall be entitled to charge an amount not exceeding half of the full charge. In the absence of such cancellation, Lingua Tech shall be entitled to its full charge once it has started its translation, regardless whether or not the translation has been completed. Where the translation has been started but not completed, the full charge (or balance thereof as the case may be) shall be treated as liquidated damages payable to Lingua Tech which are a genuine pre-estimate of Lingua Tech’s loss.

10 The client warrants to Lingua Tech that all materials submitted for translation or reproduction do not infringe any copyright nor contain any illegal or obscene information. The client shall fully indemnify Lingua Tech against all losses and damages whatsoever howsoever arising, including, but without limitation to the generality of the aforesaid, any legal action by any party and any legal costs arising therefrom on an indemnity basis.

11 Interest at 2 per cent per month shall accrue in favour of Lingua Tech on all amounts outstanding from the due date until the day of actual payment, as well after as before judgment. Furthermore, the client shall be liable to Lingua Tech for all losses and damages whatsoever howsoever arising from failure to pay the outstanding amounts, including, but without limitation to the generality of the aforesaid, any legal costs incurred to enforce (or to attempt to enforce) any of Lingua Tech’s rights on an indemnity basis. Lingua Tech need not issue any receipts for payments made by cheque.

12 Where any client has not made full payment for any job whatsoever and/or any other payment as specified above, when due, Lingua Tech shall be entitled to retain and shall have a lien over all transactions, whether completed in part or in full, and also all materials handed to Lingua Tech for its translation until full payment together with all interest have been paid in full.

13 Until payment has been made in full, the translation is and shall remain the property of Lingua Tech. Until such time, the client shall have no license rights.
